Acceptance of these Terms

These Terms and Conditions ("Terms") govern your access to and use of the Craftscene website, mobile application, and related services (collectively, the "Services"), operated by Craftscene.

By creating an account, browsing, or otherwise using the Services, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree to these Terms, you must not access or use the Services.

If you are using the Services on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

Eligibility and account registration

To use certain features of the Services, you must register for an account and provide accurate, complete, and current information, including your name, email address, and phone number.

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to create an account and use the Services.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account or any other breach of security.

Craftscene supports different account types, including clients, service providers (craftsmen and freelancers), and suppliers. Each account type may have access to different features and may be subject to additional terms presented during registration.

Description of the Services

Craftscene operates an online marketplace that connects clients with independent service providers, craftsmen, freelancers, and suppliers for the purpose of requesting quotes, ordering products, and booking services.

Craftscene is not a party to any agreement between a client and a service provider or supplier. We do not employ, supervise, or control service providers or suppliers, and we are not responsible for the quality, safety, legality, or timeliness of any product or service offered, requested, or provided through the Services.

Features of the Services may include, without limitation, requests for quotation (RFQs), product and service listings, the ability to ask questions, project and idea sharing, branch and business profile management, subscriptions and packages, a digital wallet, and order management.

We may add, modify, suspend, or discontinue any feature of the Services at any time, with or without notice.

User responsibilities and prohibited conduct

You agree to use the Services only for lawful purposes and in accordance with these Terms. When using the Services, you must not:

• Provide false, inaccurate, or misleading information when creating an account, requesting a quote, listing a product or service, or communicating with other users.
• Impersonate any person or entity, or misrepresent your affiliation with a person or entity.
• Use the Services to send spam, unsolicited advertising, chain letters, or any other form of unauthorized solicitation.
• Upload or transmit any content that is unlawful, defamatory, obscene, harassing, threatening, discriminatory, or that infringes the intellectual property or privacy rights of others.
• Attempt to gain unauthorized access to any portion of the Services, other users' accounts, or any systems or networks connected to the Services.
• Use any automated means, including bots, scrapers, or crawlers, to access or collect data from the Services without our prior written consent.
• Circumvent, disable, or otherwise interfere with security-related features of the Services or features that prevent or restrict the use or copying of any content.
• Use the Services to engage in any activity that violates applicable local, national, or international law or regulation.

We reserve the right to investigate and take appropriate action against anyone who, in our sole discretion, violates this section, including removing content, suspending or terminating accounts, and reporting violations to law enforcement authorities.

Requests for quotation, orders, and transactions

Clients may submit requests for quotation ("RFQs") describing the products or services they require. Service providers and suppliers may respond to RFQs with proposals, quotations, or offers.

Any agreement reached between a client and a service provider or supplier, whether through the RFQ process, direct messaging, or any other feature of the Services, constitutes a separate contract between those parties. Craftscene is not a party to, and assumes no liability under, any such contract.

You are solely responsible for verifying the identity, qualifications, licensing, insurance, and reputation of any party you choose to transact with through the Services. We strongly encourage you to exercise caution and sound judgment before entering into any transaction.

Product listings, service descriptions, prices, availability, and delivery or completion times are provided by service providers and suppliers and may be inaccurate, incomplete, or change without notice. We do not guarantee the accuracy of any listing.

Payments, fees, and wallet

Certain features of the Services, such as orders, subscriptions, and packages, may require payment of fees. All applicable fees and payment terms will be presented to you before you complete a transaction.

Craftscene may offer an in-app wallet that allows you to store credit, receive refunds, or earn rewards (including through referral programs). Wallet balances are subject to these Terms and any additional terms presented within the wallet feature, and may not be transferable or redeemable for cash except as required by applicable law.

Payments made through the Services may be processed by third-party payment processors. By providing payment information, you authorize us and our payment processors to charge the applicable amounts to your selected payment method.

You are responsible for any taxes, duties, or similar charges associated with your use of the Services or any transaction completed through the Services, except for taxes on Craftscene's net income.

Subscriptions and packages

Craftscene may offer subscription plans or packages that provide service providers and suppliers with additional features, visibility, or benefits for a recurring or one-time fee.

Unless otherwise stated at the time of purchase, subscriptions may renew automatically at the end of each billing period until cancelled. You may cancel a subscription at any time through your account settings; cancellation will take effect at the end of the current billing period.

We reserve the right to change the price, features, or availability of any subscription or package, with reasonable notice provided where required by applicable law.

Cancellations and refunds

Cancellation and refund terms for orders, services, and subscriptions may vary depending on the nature of the transaction and the policies of the relevant service provider or supplier, which will be made available to you at or before the time of purchase.

Where Craftscene processes a refund directly, refunds will generally be issued to the original payment method or to your Craftscene wallet, at our discretion and within a reasonable time.

We are not responsible for any losses you may incur as a result of a cancellation, delay, or dispute between you and a service provider or supplier, although we may, at our discretion, assist in facilitating a resolution.

Intellectual property rights

The Services, including their design, text, graphics, logos, icons, images, software, and the compilation and arrangement thereof, are owned by Craftscene or our licensors and are protected by copyright, trademark, and other intellectual property laws.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Services for your personal or internal business purposes.

You may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works based on the Services or any portion thereof, except as expressly permitted by us in writing.

"Craftscene" and our logos, product names, and feature names are trademarks of Craftscene. You may not use these marks without our prior written permission.

User-generated content

The Services may allow you to submit, upload, or post content, including profile information, business details, product or service listings, images, reviews, questions, and messages ("User Content").

You retain ownership of your User Content. By submitting User Content, you grant Craftscene a worldwide, non-exclusive, royalty-free, sublicensable license to use, host, store, reproduce, display, and distribute your User Content for the purposes of operating, promoting, and improving the Services.

You represent and warrant that you own or have the necessary rights to your User Content, and that your User Content does not violate these Terms or any applicable law or third-party right.

We do not endorse, and are not responsible for, any User Content. We may, but are not obligated to, review, monitor, or remove User Content at our discretion, including where we believe it violates these Terms.

Reviews and ratings

The Services may allow users to leave reviews and ratings of service providers, suppliers, products, or services. Reviews must be based on genuine experiences and must not be false, misleading, defamatory, or posted in exchange for compensation unless clearly disclosed.

We reserve the right to remove any review or rating that we believe, in our sole discretion, violates these Terms or is otherwise inappropriate.

Third-party links and services

The Services may contain links to third-party websites, applications, or services, including social media platforms and payment providers, that are not owned or controlled by Craftscene.

We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. Your use of any third-party service is governed by that third party's own terms and policies.

Suspension and termination

We may suspend or terminate your access to the Services, with or without notice, if we believe, in our sole discretion, that you have violated these Terms, engaged in fraudulent or harmful activity, or that your continued use of the Services poses a risk to Craftscene, other users, or third parties.

You may stop using the Services and request deletion of your account at any time, in accordance with our Privacy Policy.

Provisions of these Terms that, by their nature, should survive termination (including, without limitation, ownership provisions, warranty disclaimers, indemnification, and limitations of liability) will survive any termination of your access to the Services.

Disclaimers

The Services are provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory, including, without limitation, implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Services will be uninterrupted, secure, or error-free, that defects will be corrected, or that the Services or the servers that make them available are free of viruses or other harmful components.

We do not warrant or guarantee the quality, safety, suitability, or legality of any product or service offered by service providers or suppliers through the Services, nor the accuracy or reliability of any information provided by other users.

Limitation of liability

To the maximum extent permitted by applicable law, Craftscene and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including, without limitation, loss of profits, data, goodwill, or other intangible losses, arising out of or related to your use of, or inability to use, the Services.

To the maximum extent permitted by applicable law, our total aggregate liability to you for any claim arising out of or relating to these Terms or the Services will not exceed the greater of (a) the amounts you paid to Craftscene for the Services in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred (100) USD or its equivalent in your local currency.

Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence or fraud.

Indemnification

You agree to indemnify, defend, and hold harmless Craftscene and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with: (a) your access to or use of the Services; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any rights of another party, including other users, service providers, or suppliers.

Governing law and dispute resolution

These Terms are governed by and construed in accordance with the laws of the jurisdiction in which Craftscene is established, without regard to its conflict of law provisions, except where applicable law requires otherwise.

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or the Services, you agree to first contact us to seek an informal resolution before pursuing any other available remedy.

Any dispute that cannot be resolved informally will be subject to the exclusive jurisdiction of the competent courts of the jurisdiction in which Craftscene is established, unless applicable law provides otherwise.

Changes to these Terms

We may revise and update these Terms from time to time at our sole discretion. All changes are effective when we post them, and apply to all access to and use of the Services thereafter.

Your continued use of the Services following the posting of revised Terms means that you accept and agree to the changes. We encourage you to review these Terms periodically so that you are aware of any updates.

If we make material changes to these Terms, we will use reasonable efforts to notify you, such as by email or through a notice within the Services.
